    Terms of Service

    Applies to foldermanifest.com, documentation, downloads, and support channels.

    These Terms outline the obligations and expectations for using FolderManifest's online services. They supplement the FolderManifest End User License Agreement, which governs use of the desktop application itself.

    1. Agreement

    These Terms of Service ("Terms") govern your access to and use of the FolderManifest website, download portal, documentation, and support services (collectively, the "Services") provided by ARCED International LLC ("ARCED", "we", "us"). By using the Services you agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to do so.

    2. Services

    The Services include marketing information, product downloads, license management, and support resources for the FolderManifest desktop application. Certain Services may be provided under separate agreements (for example, an enterprise license or custom support statement of work). If there is a conflict between those agreements and these Terms, the negotiated agreement controls.

    3. Accounts & Access

    • You are responsible for maintaining the confidentiality of credentials issued to you.
    • Notify us immediately of unauthorised access or security concerns.
    • Your use must comply with applicable laws and any internal policies of your organisation.
    • We may disable accounts that are misused or compromised.

    4. Acceptable Use

    • Do not attempt to reverse engineer, copy, resell, or otherwise misuse the Services or underlying intellectual property.
    • Do not upload harmful code, infringing materials, or confidential data without appropriate safeguards.
    • Do not interfere with, disrupt, or degrade the performance or availability of the Services for others.
    • Use the Services only for lawful purposes. You are responsible for compliance with local regulations, export controls, and sanctions.

    5. Privacy & Data Protection

    Our handling of personal data is described in the FolderManifest Privacy Policy. For features that require account information or device fingerprints (for example, license activation), we process only the data necessary to operate the Services. Additional data processing agreements may be executed with enterprise customers if required by law.

    6. Fees & Payment

    Pricing for FolderManifest licenses is presented on the website and in checkout flows. Payments are processed by Stripe or another designated processor. You agree to provide accurate billing details and authorise us (and our payment processor) to charge the applicable amount. Taxes and duties are your responsibility unless we state otherwise.

    7. Intellectual Property

    ARCED retains all rights to the FolderManifest brand, documentation, services, and related intellectual property. Unless expressly permitted, you may not use our marks or content in a way that suggests endorsement. Customers receive only the limited licenses set out in the EULA, these Terms, or a separate written agreement.

    8. Warranties & Disclaimers

    We strive to keep the Services accurate and available, but they are provided on an "as is" basis except where additional warranties are offered in a written agreement. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    9. Limitation of Liability

    To the maximum extent permitted by law, ARCED's aggregate liability under these Terms is limited to the amount paid (if any) for access to the Services in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, revenue, or data.

    10. Termination

    Either party may terminate the Services for material breach if not cured within thirty (30) days of written notice. We may also suspend or terminate access immediately if necessary to protect the Services, comply with law, or address security risks. Upon termination you remain responsible for fees already incurred and must stop using the Services.

    11. Governing Law & Venue

    These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflicts of law principles. The state courts in Sheridan County, Wyoming, and the U.S. District Court for the District of Wyoming shall have exclusive jurisdiction over any dispute that is not subject to mandatory arbitration or other non-court procedures.

    12. Updates

    We may update these Terms to reflect changes in the Services or legal requirements. We will post updates here with a revised "Last updated" date, and we may provide additional notice if changes are material. Continued use of the Services after updates constitutes acceptance.
