Please read this agreement carefully before installing or using the software. The license granted is conditional on payment and ongoing compliance with these terms. If you have purchased multiple plans, the most permissive seat count applies to each unique license key.

1. License Grant

Subject to payment and compliance, ARCED International LLC ("Licensor") grants a limited, non-exclusive, non-transferable license to install and use FolderManifest for personal or internal business use on up to the number of devices allowed by your plan: Personal (2 devices), Family (5 devices), Team (10 devices). Device activation may be required; you may deactivate a device to free a seat within reasonable limits.

2. Lifetime / Subscription; Updates

Perpetual ("lifetime") licenses permit indefinite use of the installed version. Unless stated otherwise, your purchase includes software updates for 12 months from purchase; later updates may require renewal. Subscription licenses permit use only during the paid term.

3. Restrictions

You may not (a) reverse engineer, decompile, disassemble, or create derivative works except as permitted by law; (b) rent, lease, sublicense, resell, distribute, share license files/keys, or provide the software to third parties; (c) remove or alter proprietary notices; (d) exceed device/seat limits or bypass license/technical restrictions; (e) use the software to build a competing product; or (f) use the software in violation of law (including export controls and sanctions).

4. Ownership

The software is licensed, not sold. Licensor and its licensors retain all right, title, and interest, including all intellectual property rights. No rights are granted except as expressly stated in this agreement.

5. Third-Party Components

Open-source or third-party components included with the software are governed by their own licenses as listed in the Third-Party Notices. If those terms conflict with this EULA for such components, their terms control for those components.

6. Updates & Connectivity

The software may check for, download, and install updates. Features may change or be discontinued. Some functions may require internet access. Limited technical data may be transmitted for licensing, updates, or security purposes.

7. Privacy

Use of the software is subject to the FolderManifest Privacy Policy (https://www.foldermanifest.com/privacy), which is also distributed with the software. The app does not collect the contents of your files unless explicitly stated and consented to.

8. Warranty Disclaimer

The software is provided "as is" and "as available," with all faults. To the maximum extent permitted by law, Licensor and its suppliers disclaim all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade. Licensor does not warrant uninterrupted or error-free operation.

9. Limitation of Liability

To the maximum extent permitted by law, Licensor and its affiliates or suppliers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, or goodwill, even if advised of the possibility. Licensor's total liability for all claims shall not exceed the amounts paid by you for the software in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations; in such cases, the limitations apply to the fullest extent permitted.

10. Term & Termination

This EULA is effective upon installation or use and continues until terminated. Licensor may terminate for breach. Upon termination, you must stop using the software and uninstall or destroy all copies and license files. Sections intended to survive (including 3–5, 7–12) survive termination.

11. Governing Law & Venue

This EULA is governed by the laws of the State of Wyoming, USA, without regard to conflicts principles. The parties consent to the exclusive jurisdiction and venue of the state courts in Sheridan County, Wyoming, and the U.S. District Court for the District of Wyoming, for any dispute not subject to mandatory non-court procedures.

12. Miscellaneous

This EULA (with the Privacy Policy and any purchase terms) is the entire agreement, superseding prior understandings. If any provision is unenforceable, it will be modified to the minimum extent to be enforceable, and the remainder will continue. No waiver is effective unless in writing. Licensor is not liable for delays or failures due to causes beyond its reasonable control (force majeure).
